Contract Review Skill

Skill Verified Active

Review contracts against your organization's negotiation playbook, flagging deviations and generating redline suggestions. Use when reviewing vendor contracts, customer agreements, or any commercial agreement where you need clause-by-clause analysis against standard positions.

Purpose

To provide an AI-driven, standardized approach to contract review, ensuring alignment with organizational negotiation strategies and improving efficiency for legal teams.

Features

  • Review contracts against negotiation playbooks
  • Flag deviations and classify severity
  • Generate actionable redline suggestions with rationale
  • Analyze common contract clauses (Liab., Indemnification, IP, Data Protection, etc.)
  • Provide structured negotiation priorities (Tier 1-3)

Use Cases

  • Reviewing vendor contracts against standard positions
  • Analyzing customer agreements for deviations from negotiation playbooks
  • Generating redline suggestions for commercial agreements
  • Assessing contract risk and compliance with organizational standards

Non-Goals

  • Providing legal advice; all analysis requires review by qualified professionals
  • Automating the entire negotiation process without human oversight
  • Reviewing contracts without a defined negotiation playbook (will default to general standards)

Workflow

  1. Check for a configured playbook in user's local settings.
  2. If no playbook, inform the user and use general commercial standards.
  3. Identify the contract type and user's side (vendor, customer, etc.).
  4. Read the entire contract holistically before analysis.
  5. Analyze each material clause against the playbook position.
  6. Classify deviations (GREEN, YELLOW, RED) and generate redline suggestions with rationale, priority, and fallback positions.

Documentation

  • info:Configuration & parameter referenceThe skill mentions loading a playbook from user settings but does not provide specific details on how this configuration is managed or its precedence order.

Compliance

  • info:GDPRThe skill processes contract text, which may contain personal data. While it does not explicitly submit this data to a third party, the LLM processing itself could potentially expose it.

Practical Utility

  • info:Usage examplesWhile the SKILL.md describes the process and redline format, concrete end-to-end examples demonstrating input, invocation, and output for specific clauses are not provided.
